Governance

Our Constitution

BID Services is a registered charity and company limited by guarantee. In common with all charities who adopt this legal structure, we are governed by the Charity’s Memorandum and Articles of Association which states what we can, and cannot do.

Our Board of Trustees

These are the people who are responsible for the legal and strategic direction of our charity as well as understanding and mitigating the risks to which the charity is exposed. The board of trustees provide a formal account of the actions taken in guiding the charity, through annual reports to both the Charity Commission and Companies House.

Board members bring a range of skills relevant to the progress of the organisation and are required to act in the best interest of the charity. They are free to give opinions, advice and guidance without fear or favour and are required to declare any conflicts of interest.

Much of the board’s power is delegated to BID Service’s Chief Executive, who, along with the Senior Management Team, is responsible for the day-to-day management and operation of the charity to achieve its strategic objectives.

Our Board of Trustees meets formally five times a year although additional meetings may be held if required. It receives detailed reports from the Senior Management Team on how services are performing, the financial position, reviewed against budget and changes to the risk profile. It also considers any major issues.

Our Senior Management Team

The Senior Management Team is responsible for the day to day management and operation of the charity to achieve its strategic objectives. This team  meets frequently to monitor progress towards delivery of the agreed strategic plan as well as reviewing day-to-day business activity, undertake detailed financial management and planning and consider and deal with major operational issues.

Accountability

The board acts collectively in making decisions and seeks to achieve consensus on major decisions. However, where this is not possible, decisions will be based on a majority vote with the Chair holding a casting vote.

The Board delegates authority through the Chief Executive to the Senior Management team and staff, which supports efficient and effective operation of the Charity.

The board has established clear levels of delegated authority through its scheme of delegation which clearly explains the decision making powers.

Accreditations

BID Services takes quality seriously and we adhere to a range of quality assessment and management standards, including IS09001. These standards are applied throughout the organisation and are integrated into all aspects of our operations.
